MoreLogin Proxy Service Agreement

This MoreLogin Proxy Service Agreement (“Agreement”) governs your purchase of, access to, and use of proxy services made available through MoreLogin (“Proxy Services”).

By purchasing, accessing, or using the Proxy Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement, the MoreLogin Terms of Service, the MoreLogin Privacy Policy, and any applicable Purchase Notes presented to you at the time of purchase.

1. Proxy Services

1.1 Service Description

“Proxy Services” means proxy network resources made available to you through and solely for use within supported MoreLogin environments, together with related resource allocation, integration, billing, and technical support services.

The underlying proxy network infrastructure may be supplied and operated by independent third-party network providers.

MoreLogin integrates, allocates, and makes such network resources available through the MoreLogin platform.

Unless expressly stated otherwise, MoreLogin does not own or operate the underlying proxy network infrastructure.

1.2 MoreLogin-Only Use

Proxy resources purchased or otherwise made available through MoreLogin may only be used within supported MoreLogin environments.

Unless expressly stated otherwise, standalone proxy credentials, including host, port, username, password, authentication information, or other connection credentials, are not provided to users.

You may not extract, discover, view, copy, export, transfer, resell, rent, lend, sublicense, share, or otherwise make available any proxy resource or standalone proxy credential for use outside MoreLogin.

You may not attempt to bypass, disable, interfere with, or circumvent technical controls designed to enforce these restrictions.

1.3 Geographic Availability

Proxy Services are not offered to users registered in or accessing MoreLogin from mainland China.

MoreLogin may restrict or disable the purchase, renewal, or allocation of Proxy Services based on account registration information, access location, applicable legal or regulatory requirements, sanctions requirements, network provider restrictions, or other reasonable compliance and risk-control considerations.

For purposes of this provision, Hong Kong SAR, Macau SAR, and Taiwan are not included in “mainland China.”

1.4 Service Eligibility

You may use the Proxy Services only if you are legally permitted to do so under the laws and regulations applicable to you.

MoreLogin may decline, restrict, or discontinue access to the Proxy Services where reasonably necessary to comply with applicable law, regulatory requirements, sanctions obligations, network provider requirements, or MoreLogin’s compliance and risk-management policies.

2. Purchase, Billing, and Renewal

2.1 Pricing

Prices, subscription periods, discounts, supported locations, proxy types, quantities, and other applicable commercial terms will be displayed on the relevant purchase page before payment.

MoreLogin may update pricing, available locations, network providers, proxy types, or other service options from time to time.

Unless otherwise required by applicable law or expressly agreed with you, such changes will not affect an existing paid subscription period.

2.2 Payment

You must pay all applicable fees using a payment method supported by MoreLogin.

Your order will be processed after payment is successfully completed or otherwise confirmed by the applicable payment provider.

You are responsible for providing accurate payment information and for ensuring that your use of the selected payment method is authorized and lawful.

2.3 Resource Allocation

Proxy resources are typically allocated to your MoreLogin account within the period stated on the applicable purchase page.

Actual allocation time may vary depending on resource availability, selected location, proxy type, network provider, payment confirmation, and other technical or operational conditions.

A Proxy Service will be considered successfully allocated when the applicable proxy resource becomes available for use within your MoreLogin account or supported MoreLogin environment.

2.4 Refunds and Exchanges

Proxy purchases are generally non-refundable and non-exchangeable once the applicable proxy resource has been successfully allocated to your account.

This restriction does not apply where:

(a) a refund or other remedy is required by applicable law; or

(b) MoreLogin is unable to deliver the purchased Proxy Service due to causes attributable to MoreLogin or the applicable network provider.

Where appropriate, MoreLogin may provide a replacement resource, service credit, refund, or other reasonable remedy.

Compatibility with any particular third-party website, platform, application, account, or service is not guaranteed unless MoreLogin expressly states otherwise on the applicable purchase page.

A third party’s decision to restrict, block, challenge, verify, suspend, terminate, or otherwise limit access based on its own policies, security systems, or risk controls does not by itself mean that the Proxy Service is defective.

2.5 Automatic Renewal

Automatic renewal is optional and applies only if you enable it.

If you enable automatic renewal, the applicable Proxy Service will automatically renew for the selected subscription period at the renewal price displayed or otherwise disclosed to you before renewal, unless you disable automatic renewal before the applicable renewal date.

You may disable automatic renewal through the applicable MoreLogin account settings before the next renewal date.

MoreLogin may be unable to renew a Proxy Service if the relevant proxy resource is no longer available, the applicable network provider discontinues the resource, payment fails, geographic eligibility changes, or continued provision is restricted by law, regulation, security, compliance, or network-provider requirements.

3. Acceptable Use

3.1 Lawful and Authorized Use

You may use the Proxy Services only for lawful, authorized, and legitimate purposes.

You are responsible for ensuring that your use of the Proxy Services complies with applicable laws and regulations, third-party rights, applicable platform terms and policies, and the MoreLogin Terms of Service.

The availability of a Proxy Service does not constitute authorization by MoreLogin to access or use any third-party account, system, network, website, application, device, service, or data.

3.2 Prohibited Activities

You must not use, attempt to use, or permit others to use the Proxy Services for:

(a) fraud, phishing, impersonation, credential theft, account takeover, identity theft, or other fraudulent or deceptive activity;

(b) unauthorized access to accounts, systems, networks, devices, services, or data;

(c) malware, ransomware, botnets, malicious code, command-and-control infrastructure, or other harmful software or activity;

(d) denial-of-service attacks, credential stuffing, unauthorized vulnerability scanning, unauthorized network scanning, exploitation of vulnerabilities, or other activities intended to compromise the confidentiality, security, availability, or integrity of third-party systems;

(e) circumventing, bypassing, disabling, or materially interfering with security controls, access restrictions, anti-fraud systems, anti-abuse mechanisms, or other protective measures of a third-party service without authorization;

(f) using the Proxy Services to materially misrepresent geographic location, identity, residency, eligibility, or affiliation for fraudulent or deceptive purposes, including improperly obtaining region-restricted benefits, promotions, subsidies, or services;

(g) unsolicited bulk messaging, spam, abusive advertising, or other communications prohibited by applicable law;

(h) infringement, misappropriation, or violation of intellectual property rights, privacy rights, confidentiality obligations, or other rights of third parties;

(i) sanctions evasion, money laundering, terrorist financing, or other prohibited financial or criminal activity;

(j) knowingly facilitating, assisting, concealing, or materially supporting any activity prohibited under this Section; or

(k) any other activity that violates applicable law, regulatory requirements, third-party rights, or MoreLogin’s applicable policies.

3.3 Third-Party Services

Your use of any third-party website, application, service, account, or platform through the Proxy Services is subject to the terms, policies, rules, and technical requirements of that third party.

MoreLogin does not guarantee that the Proxy Services will be compatible with, accepted by, or available for use with any particular third-party service.

MoreLogin is not responsible for account challenges, verification requests, suspension, restriction, termination, access denial, or other measures taken by a third-party service based on that service’s own policies, systems, or risk controls, except to the extent directly and primarily caused by MoreLogin’s material breach of this Agreement, or as otherwise required by applicable law.

4. Third-Party Network Providers

4.1 Underlying Network Infrastructure

Certain Proxy Services rely on network resources supplied or operated by independent third-party network providers.

Network characteristics, IP availability, routing, latency, reputation, geographic attributes, carrier or ISP information, and performance may therefore vary depending on the applicable provider, resource availability, and network conditions.

Unless expressly stated otherwise, MoreLogin does not control the underlying Internet infrastructure, telecommunications networks, routing decisions, or third-party systems through which the Proxy Services operate.

4.2 Changes to Network Resources

MoreLogin may replace, reassign, suspend, or discontinue a proxy resource where reasonably necessary due to:

(a) network provider requirements;

(b) loss or withdrawal of resource availability;

(c) technical, operational, or security issues;

(d) legal or regulatory requirements;

(e) abuse or compliance concerns;

(f) sanctions or geographic restrictions; or

(g) other circumstances that make continued provision of the specific resource impracticable.

MoreLogin does not guarantee the continued availability of any particular IP address, network provider, carrier, or underlying network resource except as expressly stated for the applicable product.

Where a paid Proxy Service becomes unavailable for reasons not attributable to you, MoreLogin may, as appropriate, provide a replacement resource, service credit, refund, or other reasonable remedy.

4.3 Static Proxy Resources

A static proxy is intended to maintain the same IP address during the applicable paid subscription period.

However, where the specific IP address becomes unavailable due to network provider requirements, technical failure, security concerns, legal or regulatory requirements, loss of resource availability, or other circumstances beyond MoreLogin’s reasonable control, MoreLogin may replace the affected IP address in accordance with Section 4.2.

Where reasonably practicable, MoreLogin will seek to provide a replacement resource with substantially similar purchased characteristics.

4.4 Dynamic Proxy Resources

Dynamic proxy products may rotate or change IP addresses according to the applicable product configuration, selected geographic settings, network provider infrastructure, resource availability, and network conditions.

The use of a dynamic proxy does not guarantee access to any particular IP address at any particular time.

5. Security, Abuse, Suspension, and Termination

5.1 Abuse Prevention

MoreLogin may implement reasonable technical, operational, contractual, and risk-control measures to prevent fraud, abuse, unlawful activity, unauthorized access, misuse, security threats, and violations of this Agreement.

Such measures may evolve over time based on security risks, abuse patterns, legal requirements, regulatory expectations, and network provider requirements.

5.2 Suspension or Restriction

MoreLogin may immediately restrict, suspend, replace, or terminate Proxy Services where MoreLogin reasonably believes that:

(a) the Proxy Services are being used unlawfully, abusively, fraudulently, or in violation of this Agreement;

(b) continued access presents a security, fraud, legal, regulatory, sanctions, compliance, or network risk;

(c) MoreLogin receives a credible complaint, abuse report, security notification, or lawful request;

(d) the applicable network provider requires restriction, suspension, replacement, or termination;

(e) your account or use presents material indicators of unauthorized or abusive activity; or

(f) immediate action is reasonably necessary to protect MoreLogin, its users, network providers, third parties, or the integrity or security of the service.

Where reasonably practicable, MoreLogin may provide notice and an opportunity to respond.

However, MoreLogin may take immediate action without prior notice where reasonably necessary to prevent harm, preserve security, comply with applicable law or lawful requests, or respond to urgent abuse, fraud, or security concerns.

5.3 Investigation and Cooperation

MoreLogin may reasonably investigate suspected violations of this Agreement and may cooperate with network providers, payment providers, security organizations, regulators, courts, or law-enforcement authorities where required or permitted by applicable law.

Any disclosure of user information will be handled in accordance with applicable law, the MoreLogin Privacy Policy, and MoreLogin’s applicable legal-request procedures.

5.4 Termination by User

You may stop using the Proxy Services at any time.

Termination, cancellation, or non-use does not entitle you to a refund except as expressly provided in this Agreement or required by applicable law.

6. Service Availability and Disclaimer

6.1 No Guaranteed Availability

Proxy Services are provided subject to resource availability, network conditions, maintenance, network provider availability, security requirements, legal or regulatory restrictions, and other operational factors.

MoreLogin does not guarantee uninterrupted, error-free, or continuous availability of any specific proxy resource.

Temporary interruption, routing changes, latency variation, maintenance, resource reassignment, or other ordinary network conditions do not necessarily constitute a failure to provide the Proxy Services.

6.2 No Guaranteed IP Characteristics

Unless expressly stated otherwise on the applicable purchase page, MoreLogin does not guarantee that any proxy resource will maintain a particular:

(a) IP reputation;

(b) third-party platform acceptance status;

(c) latency level;

(d) routing path;

(e) ASN, carrier, or ISP designation;

(f) third-party database classification; or

(g) compatibility with any particular third-party website, application, platform, account, or service.

6.3 Disclaimer

To the maximum extent permitted by applicable law, the Proxy Services are provided on an “as available” basis.

MoreLogin disclaims warranties not expressly set out in this Agreement, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, uninterrupted availability, or compatibility with any particular third-party service, to the extent such disclaimers are permitted by applicable law.

Nothing in this Agreement limits any mandatory rights or remedies that cannot lawfully be excluded or limited.

7. User Responsibility and Indemnification

7.1 User Responsibility

You are responsible for your conduct and for activity carried out through Proxy Services assigned to your MoreLogin account or environments, except to the extent caused by unauthorized activity that you could not reasonably prevent and that you promptly report to MoreLogin.

You are responsible for maintaining appropriate security over your MoreLogin account, devices, credentials, team permissions, and environments.

7.2 Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MoreLogin, its affiliates, officers, directors, employees, contractors, and service providers from and against third-party claims, liabilities, losses, damages, penalties, costs, and reasonable legal fees arising out of or relating to:

(a) your unlawful or unauthorized use of the Proxy Services;

(b) your material breach of this Agreement;

(c) your infringement or violation of the rights of a third party; or

(d) fraud, abuse, malicious activity, or other prohibited conduct carried out by you through the Proxy Services.

The obligations under this Section do not apply to the extent that the relevant claim, loss, or liability is directly caused by MoreLogin’s material breach of this Agreement, gross negligence, wilful misconduct, or other conduct for which liability cannot lawfully be excluded or limited.

8. Limitation of Liability

To the maximum extent permitted by applicable law, MoreLogin will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, or for loss of profits, revenue, business opportunity, goodwill, data, or anticipated savings arising out of or relating to the Proxy Services.

To the maximum extent permitted by applicable law, MoreLogin’s aggregate liability arising out of or relating to the Proxy Services will not exceed the amount actually paid by you for the affected Proxy Services during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in this Agreement excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

9. Privacy and Data Protection

Your use of the Proxy Services is subject to the MoreLogin Privacy Policy.

MoreLogin and its service providers may process information reasonably necessary to provide, allocate, secure, administer, support, bill for, investigate misuse of, and comply with legal obligations relating to the Proxy Services, in accordance with the Privacy Policy and applicable data protection laws.

Nothing in this Agreement requires MoreLogin to collect categories of information beyond those reasonably necessary for the applicable purposes or otherwise described in the Privacy Policy.

10. Governing Law and Dispute Resolution

10.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws principles.

10.2 Arbitration

Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, interpretation, performance, breach, or termination, shall be finally resolved by arbitration administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the SIAC Rules in force at the time the arbitration is commenced.

The seat of arbitration shall be Singapore.

The tribunal shall consist of one arbitrator.

The language of arbitration shall be English.

10.3 Interim Relief

Nothing in this Section prevents either party from seeking urgent interim, conservatory, or injunctive relief from a court of competent jurisdiction where such relief is reasonably necessary.

11. General Terms

11.1 Relationship with MoreLogin Terms of Service

This Agreement supplements the MoreLogin Terms of Service.

If there is a conflict between this Agreement and the MoreLogin Terms of Service solely with respect to the Proxy Services, this Agreement will control to the extent of that conflict.

The MoreLogin Terms of Service will continue to apply to all matters not specifically addressed in this Agreement.

11.2 Changes to this Agreement

MoreLogin may update this Agreement from time to time to reflect changes in the Proxy Services, applicable law, regulatory requirements, security practices, network provider requirements, or business operations.

Where required by applicable law, MoreLogin will provide reasonable notice of material changes.

Changes will not retroactively deprive you of rights relating to an already-paid subscription period except where required by applicable law, necessary to address material security or abuse risks, or otherwise expressly permitted under the applicable agreement.

11.3 Assignment

You may not assign or transfer this Agreement or any rights relating to the Proxy Services without MoreLogin’s prior written consent.

MoreLogin may assign this Agreement in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer of the relevant business, subject to applicable law.

11.4 Severability

If any provision of this Agreement is held to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

11.5 No Waiver

A failure or delay by MoreLogin to exercise any right or remedy under this Agreement does not constitute a waiver of that right or remedy.

11.6 Entire Agreement

This Agreement, together with the MoreLogin Terms of Service, Privacy Policy, applicable Purchase Notes, and other policies expressly incorporated by reference, constitutes the agreement between you and MoreLogin relating to the Proxy Services.

11.7 Language

This Agreement may be made available in multiple languages.

In the event of any inconsistency or conflict between the English version and any translated version, the English version will prevail, except where otherwise required by applicable law.
